1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "you" or "User") and LoveStock, a sole proprietorship doing business as "LoveStock" ("LoveStock," "we," "us," or "our"), concerning your access to and use of the LoveStock inventory management platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Please also review our Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Description of Service

LoveStock is a cloud-based inventory management platform designed for restaurants, bars, hotels, and similar hospitality businesses. The Service provides tools for:

• Tracking inventory levels for front-of-house (FOH) and back-of-house (BOH) items
• Managing vendors and supplier information
• Creating and managing inventory count sessions
• Organizing products by categories and units
• Generating reports and analytics on inventory usage
• Setting up automated inventory count reminders via SMS
• Managing team members and access permissions
• Importing existing inventory data through our white-glove import service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify users of material changes.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name, email address, organization name, and other required details. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

3.3 Organization Accounts

LoveStock is designed for organizational use. When you create an organization account, you represent that you have the authority to bind that organization to these Terms. Organization administrators are responsible for managing team members, permissions, and subscription billing.

4. Subscription and Billing

4.1 Subscription Plans

LoveStock offers subscription-based access to the Service. Subscription plans and pricing are available on our website and may be updated from time to time. We will notify you of any price changes before they take effect.

4.2 Payment Processing

Payments are processed securely through Clerk Billing, which uses Stripe as the underlying payment processor. By providing payment information, you:

• Authorize us to charge your payment method for all fees incurred
• Represent that you have the legal right to use the payment method provided
• Agree to keep your payment information current and accurate

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your plan) unless you cancel before the renewal date. You will be charged the then-current subscription fee for the renewal period.

4.4 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, we may suspend or terminate your access to the Service. You remain responsible for any uncollected amounts.

4.5 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments. You are responsible for paying all such taxes associated with your subscription, except for taxes based on our income.

5. Free Trial

5.1 Trial Period

New users may be eligible for a 7-day free trial of the Service. During the trial period, you have full access to the Service's features at no charge.

5.2 Trial Conversion

At the end of the trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged unless you cancel before the trial ends. You can cancel at any time during the trial period without being charged.

5.3 One Trial Per Organization

The free trial is limited to one per organization. We reserve the right to determine eligibility for the free trial and to revoke trial access if we suspect abuse or fraudulent activity.

6. Refund Policy

6.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee for new subscriptions (excluding renewals). If you are not satisfied with the Service within the first 30 days of your initial paid subscription, you may request a full refund by contacting support@lovestock.app with "Refund Request" in the subject line.

6.2 Refund Conditions

To receive a refund under the 30-day money-back guarantee:

• The request must be made within 30 days of your first payment
• The guarantee applies only to your initial subscription payment, not renewals
• Once processed, refunds are typically issued to your original payment method within 5-10 business days
• We reserve the right to deny refunds if we suspect abuse or fraudulent activity

6.3 No Refunds for Renewals

Subscription renewal payments are non-refundable. To avoid being charged for a renewal, you must cancel your subscription before the renewal date.

6.4 Partial Refunds

We do not offer prorated refunds for partial billing periods. If you cancel mid-cycle, you retain access to the Service until the end of your current billing period, but no refund will be issued for the unused portion.

7. Cancellation and Termination

7.1 Your Right to Cancel

You may cancel your subscription at any time through your account settings or by contacting support@lovestock.app. Cancellation is effective at the end of your current billing period, and you will continue to have access to the Service until that time.

7.2 Effect of Cancellation

Upon cancellation:

• Your subscription will not renew, and you will not be charged further
• You retain access to the Service until the end of your current billing period
• Your account and data are retained (not deleted) in case you wish to reactivate your subscription
• You may reactivate your subscription at any time by updating your payment information

7.3 Account Deletion

If you wish to permanently delete your account and all associated data, you can do so through the account settings portal or by emailing support@lovestock.app with "Account Deletion Request" in the subject line. Account deletion is permanent and cannot be undone. Please see our Privacy Policy for details on data deletion.

7.4 Our Right to Terminate

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• Requests by law enforcement or other government agencies

If we terminate your account for violation of these Terms, you will not be eligible for a refund.

8. User Content and Ownership

8.1 Your Content

"User Content" means all data, information, text, images, files, and other materials that you upload, submit, or transmit through the Service, including but not limited to:

• Inventory data (item names, quantities, categories, pricing)
• Vendor and supplier information
• Business and organization details
• Photos and images of inventory items
• Spreadsheets, documents, and other uploaded files
• Notes, comments, and other text entries

8.2 Ownership of User Content

You retain all ownership rights to your User Content. We do not claim any ownership over your User Content. You are solely responsible for your User Content and the consequences of posting or publishing it.

8.3 License to Use Content

By submitting User Content to the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, store, process, and display your User Content solely for the purposes of:

• Providing and operating the Service
• Maintaining backups and disaster recovery
• Improving the Service and developing new features (in aggregated, anonymized form only)
• Complying with legal obligations

This license terminates when you delete your User Content or account, except for the limited retention necessary for legal compliance or backup purposes as described in our Privacy Policy.

8.4 Use for Product Improvement

We may analyze User Content in aggregated, anonymized form to improve the Service, develop new features, and better understand user needs. For example, we may analyze common inventory item categories or vendor types to enhance our default templates. We will never share your identifiable data with third parties for such purposes.

8.5 Responsibility for User Content

You represent and warrant that:

• You own or have the necessary rights to all User Content you submit
• Your User Content does not infringe or violate any third-party rights
• Your User Content complies with these Terms and all applicable laws

9. Acceptable Use Policy

9.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for inventory management for legitimate business operations.

9.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Upload or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks
• Use any automated system (bots, scrapers, etc.) to access the Service without our express written permission
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices
• Resell, sublicense, or redistribute the Service without our express written permission
• Use the Service to send spam, unsolicited communications, or engage in any form of harassment
• Upload or transmit viruses, malware, or any other malicious code
• Collect or harvest personal information about other users without their consent

9.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing or disabling access to User Content, suspending or terminating accounts, and reporting to law enforcement authorities.

10. Intellectual Property Rights

10.1 LoveStock's Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by LoveStock and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during your subscription period.

10.3 Trademarks

"LoveStock" and our logo are trademarks of LoveStock. You may not use these trademarks without our prior written consent. All other trademarks, service marks, and logos used in the Service are the property of their respective owners.

10.4 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

11. Service Availability and Support

11.1 Service Availability

We strive to provide reliable, continuous access to the Service. However, we do not guarantee that the Service will be available at all times or that it will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

11.2 Maintenance and Downtime

We may perform scheduled maintenance or updates that temporarily limit or suspend access to the Service. While we will make reasonable efforts to notify you of scheduled maintenance in advance, we are not obligated to do so. Additionally, unscheduled downtime may occur due to technical issues, infrastructure problems, or other factors beyond our control.

11.3 Hosting Infrastructure

The Service is hosted on third-party infrastructure (Vercel for the application frontend and Convex for the backend database). While these providers maintain high reliability standards, we cannot guarantee 100% uptime and are not responsible for downtime caused by these third-party providers.

11.4 Customer Support

We provide email support at support@lovestock.app. We will make reasonable efforts to respond to support requests in a timely manner, but we do not guarantee specific response times or resolutions.

11.5 No Service Level Agreement

Unless separately agreed to in writing, we do not provide any Service Level Agreement (SLA) guarantees regarding uptime, availability, or performance.

12. Disclaimers

12.1 "AS IS" and "AS AVAILABLE" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LOVESTOCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• IMPLIED WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

12.2 No Warranty of Accuracy

We do not warrant that:

• The Service will meet your specific requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service is free from viruses, malware, or other harmful components

12.3 Third-Party Services

The Service integrates with and relies upon third-party services (Clerk, Convex, Twilio, Resend, etc.). We are not responsible for the availability, accuracy, or reliability of these third-party services, and we disclaim all liability arising from their use.

12.4 User Responsibility

You are solely responsible for:

• The accuracy and completeness of data you enter into the Service
• Maintaining backups of your important data
• Your business decisions based on information from the Service
• Complying with all applicable laws and regulations in your use of the Service

13. Limitation of Liability

13.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOVESTOCK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Loss of goodwill or reputation
• Business interruption
• Cost of substitute services
• Any other intangible losses

This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

13.2 Cap on Direct Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

• The total amount you paid to LoveStock in the 12 months preceding the claim, OR
• One hundred dollars ($100)

13.3 Basis of the Bargain

You acknowledge that these limitations of liability are a fundamental element of the basis of the bargain between you and LoveStock, and that we would not be able to provide the Service on an economically reasonable basis without these limitations.

13.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, or may apply only to the extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless LoveStock, its owner, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party, including intellectual property rights
• Your User Content
• Any fraudulent, illegal, or harmful activities conducted through your account

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute or claim arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and the United States, without regard to conflict of law principles.

15.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts located in Puerto Rico, and you consent to the personal jurisdiction and venue of such courts.

15.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at support@lovestock.app to attempt to resolve the dispute informally. We are committed to working with you to reach a fair resolution.

15.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of these Terms
• For material changes, we will notify you via email or through a prominent notice in the Service
• Changes take effect immediately upon posting unless otherwise stated

Your continued use of the Service after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LoveStock regarding the Service and supersede all prior agreements and understandings, whether written or oral.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of LoveStock.

17.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.6 Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and LoveStock.

17.7 Survival

Sections that by their nature should survive termination of these Terms (including but not limited to User Content ownership, disclaimers, limitation of liability, indemnification, and governing law) shall survive termination.
